Utah Registered Agent Requirements

Every Utah LLC must keep a registered agent on file with the Utah Department of Commerce, Division of Corporations and Commercial Code, from the day it forms until the day it dissolves. The requirement comes from Utah's version of the Model Registered Agents Act, Utah Code § 16-17-203, with the address rule in § 16-17-202. This page covers what the statute actually demands and where our $99 per year service fits.

What the Agent Is For

The registered agent is the address of record where your LLC can reliably be served. That covers lawsuit papers (service of process), notices from the Division, and state tax correspondence. The agent's name and address sit on the public record, searchable by anyone, which is worth remembering before you list a home address.

This is where Utah is more nuanced than the usual yes-or-no answer, and both halves matter:

And an individual, including a member or manager with a Utah street address, can serve as a noncommercial registered agent in a personal capacity. The trade-offs are the usual ones: the address becomes public, someone must be present every business day, and a missed service of process can mean a lawsuit proceeds without you knowing.

Changing Your Utah Registered Agent

Agent changes go on the LLC Registration Information Change Form (Utah does not number its forms) with a $17 processing fee. Time it with your annual renewal and the $17 is waived. Ignore any older guide quoting $37; that figure is out of date.
