How to Start an LLC in Utah (2026)

Utah makes this cheap and fast, but the details trip people up because they read guides written for other states. Utah LLC filings do not go to a Secretary of State. They go to the Utah Department of Commerce, Division of Corporations and Commercial Code. The formation document is not called Articles of Organization here. Utah's document is the Certificate of Organization, and the official filing fee is $59 under the Division's FY2026 fee schedule (effective July 1, 2025).

The statutory basis is Utah Code ยง 48-3a-201, which says that organizers form an LLC "by delivering to the division for filing a certificate of organization."

The Certificate of Organization Is an Online Filing

Utah does not use numbered state forms, and the Division no longer posts a downloadable Certificate of Organization PDF. Formation is an online workflow: you create a UtahID login, work through the Business Registration System at businessregistration.utah.gov, and pay the $59 fee at the end. The system collects your LLC name, principal address, registered agent, and organizer details as screens, not as a paper form.

Utah LLC Formation Steps

  1. Pick a name Utah will accept. It needs "Limited Liability Company," "LLC," or "L.L.C." and must be distinguishable from every name already on record with the Division. Run it through the state business search before you commit.
  2. Line up a registered agent. Every Utah LLC must continuously list a registered agent at a Utah street address (a rural route box also works; a PO box can only appear after the street address). Utah recognizes both commercial and noncommercial agents. Details on our Utah registered agent page.
  3. File the Certificate of Organization online. Log in at businessregistration.utah.gov with your UtahID, enter the company details, and pay the $59 fee. There is no paper form to hunt down.
  4. Adopt an operating agreement. Utah never sees this document, but your bank will ask for it and it settles ownership percentages, profit splits, and exit terms before a dispute makes them expensive. Without one, Utah's default LLC statute fills the gaps.
  5. Get your EIN from the IRS. Free at IRS.gov, usually issued on the spot. Skip anyone charging for this.
  6. Mark your renewal month. Utah's annual report, which the state calls the annual renewal, runs $18 and is due by the last day of your anniversary month every year. More in our annual requirements guide.
